Article 1 – Definitions

In these Terms and Conditions, the following definitions apply:

  • Withdrawal Period: the period within which the consumer may exercise the right of withdrawal;

  • Consumer: a natural person who is not acting in the exercise of a profession or business and who enters into a distance contract with the trader;

  • Day: calendar day;

  • Ongoing Transaction: a distance contract relating to a series of products and/or services, where the obligation to deliver and/or purchase is spread over time;

  • Durable Data Carrier: any means that allows the consumer or entrepreneur to store information addressed personally to them in a way that makes it possible to retrieve and reproduce the information in an unchanged form in the future;

  • Right of Withdrawal: the consumer’s option to withdraw from the distance contract within the cooling-off period;

  • Trader (Entrepreneur): the natural or legal person offering products and/or services to consumers at a distance;

  • Distance Contract: an agreement concluded within the framework of a system organized by the trader for distance selling of products and/or services, whereby exclusive use is made of one or more means of distance communication up to and including the conclusion of the contract;

  • Means of Distance Communication: a method that can be used to conclude a contract without the consumer and the trader being in the same room at the same time;

  • General Terms and Conditions: the current general terms and conditions of the trader.

Article 3 – Applicability

These general terms and conditions apply to every offer from the trader and to all distance contracts and orders concluded between the trader and the consumer.

Before the distance contract is concluded, the text of these general terms and conditions will be made available to the consumer. If this is not reasonably possible, it will be indicated before the contract is concluded that the general terms and conditions are available at the trader’s premises and will be sent to the consumer free of charge upon request.

If the contract is concluded electronically, the text of these terms and conditions may also be made available to the consumer electronically in such a way that the consumer can store it on a durable data carrier. If this is not reasonably possible, it will be stated where the general terms can be viewed electronically and that they will be sent electronically or otherwise free of charge at the consumer’s request.

In case of additional product- or service-specific terms, sections 2 and 3 apply accordingly, and the consumer may always rely on the most favorable provision.

If one or more provisions of these terms are void or nullified, the remaining provisions remain valid. The invalid clause shall be replaced by a clause that closely resembles the original intent.

Matters not regulated by these terms shall be interpreted “in the spirit” of these terms.

Uncertainties about the interpretation or content of one or more provisions shall also be interpreted “in the spirit” of these terms.


Article 4 – The Offer

If an offer has a limited validity or is subject to conditions, this will be stated explicitly.

Offers are non-binding. The trader may change or withdraw the offer.

The offer includes a full and accurate description of the product/service. If images are used, they represent the product/service truthfully. Obvious errors or mistakes do not bind the trader.

All images, specifications, and data are indicative and cannot lead to claims or contract dissolution.

Images may not fully reflect actual product colors due to display differences.

Every offer contains clear information about the associated rights and obligations, such as:

  • Possible shipping costs;

  • How the contract is concluded and the required steps;

  • Whether the right of withdrawal applies;

  • Method of payment, delivery, and performance;

  • Validity of the offer;

  • Costs of distance communication if not standard;

  • Whether the contract will be archived and accessible;

  • How the consumer can correct data before finalizing;

  • Language availability besides German;

  • Applicable codes of conduct;

  • Minimum contract duration if ongoing;

  • Optional: sizes, colors, and materials available.


Article 5 – The Contract

Unless stated otherwise in Article 4, the contract is concluded when the consumer accepts the offer and meets the conditions.

If acceptance is electronic, the trader will confirm receipt electronically. Until confirmation is received, the consumer can cancel the agreement.

If concluded electronically, the trader ensures appropriate technical and organizational security for data transmission.

The trader may verify the consumer's ability to pay and relevant facts for a responsible contract conclusion. If justified, the trader may refuse or conditionally accept an order.

Upon delivery, the trader shall provide:

  • Company address for complaints;

  • Terms for withdrawal or notification if not applicable;

  • Warranty and after-sales service details;

  • Conditions for termination if applicable;

  • Data from Article 4.3 if not already provided.

Contracts are concluded under the condition of product availability.


Article 6 – Right of Withdrawal

Consumers may withdraw from product purchases within 14 days of receiving them without giving a reason.

During this period, the product should be handled carefully and returned with all accessories in original condition and packaging, following trader instructions.

Consumers must notify the trader in writing (by email or letter) within 14 days of receipt if they wish to withdraw. The product must then be returned within another 14 days.

Proof of return (e.g., a postal receipt) is required.

If no withdrawal is communicated or product not returned within the deadlines, the purchase is final.


Article 7 – Withdrawal Costs

The consumer bears the return shipping costs.

If the consumer has already paid, the trader will refund the amount within 14 days, provided the product is received or proof of return is submitted.


Article 8 – Exceptions to Withdrawal

Withdrawal may be excluded for:

  • Custom or personalized items;

  • Items unsuitable for return;

  • Perishable goods;

  • Market-dependent price items;

  • Newspapers/magazines;

  • Opened audio/video/software;

  • Opened hygiene products.

And for services:

  • Lodging, transport, dining, or leisure at a fixed date;

  • Services begun with consent before the withdrawal period ends;

  • Gambling and lotteries.


Article 9 – Prices

Shipping origin is the country of dispatch. As shipping occurs outside the EU, customs/import VAT may be charged by postal/courier services. Olivara does not charge VAT.

Prices are fixed during the validity period, except for VAT changes.

Price changes due to market fluctuations may occur, and reference prices will be indicated.

Price increases within 3 months after contract conclusion are only allowed by law.

Later increases must be disclosed, and the consumer may cancel the contract from the effective date.

Printing or typographical errors do not obligate the trader to honor incorrect prices.


Article 10 – Conformity & Warranty

The trader guarantees that products/services conform to contract, description, legal standards, and usability.

Warranty does not affect legal rights.

Defects must be reported within 14 days of delivery.

Warranty does not cover:

  • Self-repairs or modifications;

  • Abnormal use or misuse;

  • Defects caused by government regulations.


Article 11 – Delivery

The trader will handle orders with care.

Unless agreed otherwise, delivery occurs within 14 days. Delays or partial fulfillment will be communicated.

In case of cancellation due to delay, full refunds will be issued within 14 days.

Substitutes may be offered with clear notice. Return costs for such substitutes are the trader's responsibility.

Risk of damage/loss transfers to the consumer upon delivery, unless agreed otherwise.


Article 12 – Duration Contracts

Termination:

  • Indefinite contracts can be canceled at any time with one month's notice.

  • Fixed-term contracts can be canceled at the end with one month’s notice.

  • Consumers can always cancel as easily as they entered, with equal notice terms.

Renewal:

  • Fixed-term contracts may not auto-renew.

  • Exceptions: newspaper/magazine contracts may auto-renew for up to 3 months with one-month cancellation rights.

  • Contracts may convert to indefinite with monthly cancellation.

  • Contracts over 1 year may be canceled after 1 year with one month's notice.


Article 13 – Payment

Statements may list “yliva.de” and a country code (e.g., "HK", "UK"). Purchases are processed by the corresponding local unit under that jurisdiction.

Unless otherwise agreed, payments must be made within 7 working days from the start of the withdrawal period or upon service confirmation.

Consumers must report inaccuracies in payment details promptly.

If payment is not made, the trader may charge reasonable collection fees within legal bounds.


Article 14 – Complaints

Complaints must be clearly described and submitted within 7 days after discovery.

They will be answered within 14 days. If more time is needed, acknowledgment will be sent within 14 days with a resolution estimate.

Unresolved complaints result in a dispute.

A complaint does not suspend obligations unless confirmed in writing.

If justified, the trader may repair or replace products at no charge.


Article 15 – Disputes

Contracts between the trader and consumer governed by these terms are exclusively subject to Chinese law, even if the consumer resides abroad.
